Einflusswahrung

Ein Seminar von AVCO und Aktienforum durchgeführt von HLMK Rechtsanwälte

Wie stellen die bisherigen Eigentümer von Unternehmen beim Hinzukommen von Eigenkapitalgebern als neue Miteigentümern sicher, dass alle ein gemeinsames Ziel verfolgen und der jeweilige Einfluss auf die Gesellschaft bestmöglich aufgeteilt ist? Vielfach werden Beteiligungsgespräche geführt, lange bevor ein Anwalt eingeschaltet wird. Soll das vorab Besprochene dann durch Rechtsanwälte umgesetzt werden, sind die Weichen oft schon gestellt. Es ist daher nicht das Verhandlungsgeschick alleine, welches den weiteren Weg des Unternehmens bestimmt. Entscheidend ist auch, dass im Falle der Hereinnahme von Investoren die (Alt-) Eigentümern schon vorab über die breite Palette von Alternativen Bescheid wissen, um zu einer tragfähigen Kooperation zu finden und um sicher zu stellen, dass der Einfluss auf das Unternehmen den Interessen der Eigentümer größtmöglich gerecht wird und gewahrt bleibt.
Diese gilt es bereits in Vorgesprächen geschickt einzusetzen. Das Seminar soll die wichtigsten Möglichkeiten der Einflusswahrung auf Gesellschafterebene einerseits sowie auf Ebene zwischen den Gesellschaftern und Geschäftsführern andererseits darstellen. Welche (Gegen-)Strategien dabei Venture Capital Geber zur Wahrung ihrer Interessen verfolgen können, wird ebenso Gegenstand des Vortrags sein.

AIFM Directive: What’s Next? (EVCA)

Implications for the private equity and venture capital industry

The Alternative Investment Fund Manager’s Directive is the most important legislative process ever faced by the European private equity and venture capital industry. After 16 months of rigorous debate a final text is expected to go to vote this autumn.

Those closest to the process - including Michel Barnier, European Commissioner for Internal Markets and Services, European Commission will share their analysis of:
